Amend my license?

How Do I Amend My License?

If something has changed in your business, you need to notify TxDMV of the changes. We hope these tips help you know what to submit along with the amendment form for your license type. The amendment form for each license type is listed in the appropriate section.

Amend Converter License

LF321 Application to Amend Converter License

Reasons

Change business name

  • Certificate for the new entity (corporation, LP, LLP, or LLC) issued by the appropriate Secretary of State office.
  • Documentation issued by the appropriate Secretary of State stating that the entity change was a result of a conversion.

Add/remove/change assumed name

  • Assumed name certificate for new assumed name(s) filed and registered with the Secretary of State for corporations, LPs, LLPs & LLCs or from the county in which the license is issued for sole proprietors and general partnerships.

Change physical address

Change mailing address

Report changes in ownership/management

  • Ownership and Management Information Form LF602
  • Current copy of new owner DL

Add conversion package

  • Attach a list of the names by which applicant identifies the new conversion package(s) installed on new motor vehicles
  • For each new conversion package, provide a detailed description of the modifications performed by applicant on new motor vehicles.
  • A copy of each warranty agreement currently in force governing conversion of new motor vehicles by applicant.
  • Brochures or photographs depicting your new product(s), with a description of the product specifications.

Add new motor vehicles to be converted

  • Attach a list of each new motor vehicle line-make applicant will be converting.
  • For each new line-make converted by applicant, attach a list of any franchised dealers in Texas to whom applicant sells or otherwise markets its converted new motor vehicles. INCLUDE NAME, BUSINESS ADDRESS, GENERAL DISTINGUISHING NUMBER (P-NUMBER), AND FRANCHISE LICENSE NUMBER OF EACH DEALER (required for each applicant).

Add dealer(s)

  • For each line-make converted by applicant, attach a list of any new franchised dealers in Texas to whom applicant sells or otherwise markets its converted new motor vehicles. INCLUDE NAME, BUSINESS ADDRESS, GENERAL DISTINGUISHING NUMBER (P-NUMBER), AND FRANCHISE LICENSE NUMBER OF EACH DEALER (required for each applicant).

Remove dealer(s)

  • For each line-make converted by applicant, attach a list of any new franchised dealers in Texas to whom applicant NO LONGER sells or otherwise markets its converted new motor vehicles. INCLUDE NAME, BUSINESS ADDRESS, GENERAL DISTINGUISHING NUMBER (P-NUMBER), AND FRANCHISE LICENSE NUMBER OF EACH DEALER (required for each applicant).

Amend Franchise License

LF121 Application to Amend Franchised Dealers License

Reasons

Change business name due to Amendment, Conversion or Merger

  • Documentation issued by the Secretary of State showing that the entity change was the result of an Amendment, Conversion or Merger.
    Amendment or Conversion – a single business entity has adopted an amendment or conversion with the Secretary of State office to change the business name from one entity to another. Submit Franchise Amendment Application Form LF121
    Example: John Doe Automotive, LLC is amended or converted to form Extreme Automotive, LTD (filed with the Secretary of State as an amendment or conversion) Franchise Amendment Application Form LF121
    Merger – two or more business entities merge to form a single business entity:
    1. Surviving entity is a new business entity – Submit Application for New License Form LF101
      Example: John Doe Automotive, LLC and Extreme Automotive, LTD merge to form Advanced Automotive, LLC
    2. Surviving entity is an existing licensed entity – Submit Franchise Application to Amend Business Entity Form LF121 Example: John Doe Automotive, LLC (not licensed) and Extreme Automotive, LTD (licensed entity) merge where Extreme Automotive, LTD (licensed entity) is the surviving entity
  • Texas Administrative Code RULE §215.104 Changes to Franchised Dealer License

Add/remove/change assumed name

  • Assumed name certificate for new assumed name(s) filed and registered with the Secretary of State for corporations, LPs, LLPs & LLCs or from the county for sole proprietors and general partnerships.

Change physical address

  • Address reassignment by City, County or 911?
    • Yes - provide supporting documentation issued by the City, County or local 911 office and new Evidence of Franchise Form LF611, Evidence of Relocation Form LF621 or executed dealer agreement listing new physical address
    • No – submit Application for New License Form LF101

Add a new line

  • Evidence of Franchise Form LF611 or executed dealer agreement

Remove an existing line

  • Note: Once a line is removed from a license, under Texas law the dealer is no longer eligible to perform manufacture warranty service for said line(s) unless the dealer is also licensed to sell the same line at another location under the same business entity. Ref TAC RULE §215.103 Service-Only Facility
  • (b) A franchised dealer must obtain a license to operate a service-only facility. The dealer may not obtain a service-only facility license to service a particular line of new motor vehicles, unless the dealer is franchised and licensed to sell that line.

Add a new GDN category to an existing Franchise license

  • Franchise Amendment Application Form LF121

Change dealer principal or general manager

Report changes in ownership or management

  • Franchise Amendment Application Form LF121
  • Ownership and Management Information Form LF601
  • Current copy of new owner DL

Add a supplemental location (used car lot)

Franchise dealer becoming an Independent dealer (Conducting used sales only at the same location)

  • Submit signed, written request to close license (list Franchise license number and any existing P-numbers to close)
  • Attach an original bond and Power of Attorney for each P-number that you wish to remain active (bond and POA not required for Travel Trailer or Trailer/Semi-trailer P-numbers)
  • Expiration date of bond must match the expiration date of current P-number(s)
  • If your assumed name has changed, follow instructions above for a Name or Assumed Name/DBA Change

Close Franchise license

Amend Independent (GDN) License

LF021 Application to Amend Independent Dealers License

Reasons

Change Business name (General)

  • Certificate for the new entity (corporation, LP, LLP, or LLC) issued by the appropriate Secretary of State office.
  • Documentation issued by the appropriate Secretary of State stating that the entity change was a result of a conversion or amendment.
  • Submit a rider and Power of Attorney issued under new business name (must be identical to the name filed with the county or Secretary of State). (Note: If this change affects more than one license, complete Application to Amend Business Entity Form LF604)

Sole proprietor or partnerships changing to corporation, LP, LLP or LLC

  • new Application for General Distinguishing Number (Independent Dealers) Form LF001

Death of a Sole proprietor

  • Death Certificate
  • Submit a new bond or rider and Power of Attorney issued under the new owner’s name
  • Independent Ownership and Management Information Form LF601containing new owner’s information
  • Copy of current driver’s license for new owner
  • Assumed name certificate filed and registered with the county the dealership is located in showing new owner’s name.

Replacement of a partner

  • Assumed name certificate filed and registered with the county the dealership is located in showing new names
  • Independent Ownership and Management Information Form LF601containing new ownership information
  • Copy of current driver’s license for new owner
  • A new bond or rider and Power of Attorney showing the name change.

Add/remove/change assumed name

  • Assumed name certificate for new assumed name(s) filed and registered with the Secretary of State for corporations, LPs, LLPs & LLCs or from the county the dealership is located in for sole proprietors and general partnerships.

Relocating dealership within in the same city or adding a supplemental location within the same city

  • Submit a rider and Power of Attorney showing the new location, or all locations if adding a supplemental location.
  • Texas Administrative Code RULE §215.135 More than One Location

Changing from Wholesale to Retail or Retail to Wholesale

  • Texas Administrative Code RULE §215.140(9) Established and Permanent Place of Business
    Wholesale and retail dealer’s office sharing prohibition. Unless otherwise authorized by the Transportation Code, a retail motor vehicle dealer and a wholesale motor vehicle dealer, either of which is licensed after September 1, 1999, may not be located in the same business structure.

Report changes in ownership or management

  • If this change affects more than one license, you are required to complete Application to Amend Business Entity Form LF604.
  • Independent Ownership and Management Information Form LF601containing new owner’s information
  • Copy of current driver’s license for new owner

Amend Lessor/Lease Facilitator License

LF522 Application to Amend Lease Facilitator License

LF521 Application to Amend Lessor License

Reasons

Change business name

  • New certificate for the new entity issued by the Secretary of State (corporation, LP, LLP, or LLC).
  • Documentation issued by the appropriate Secretary of State showing that the entity change was a result of a conversion or amendment.
  • Ownership and Management Information Form LF601
    (Note: If this change affects more than one license, you are required to complete Application to Amend Business Entity Form LF604)Adding or deleting Lessors)

Report Ownership and Management Changes

  • Ownership and Management Information Form LF601
  • Current copy of new owner DL
    (Note: If this change affects more than one license, you are required to complete Application to Amend Business Entity Form LF604)

Add/remove/change assumed name

  • Assumed name certificate for new assumed name(s) filed and registered with the Secretary of State for corporations, LPs, LLPs & LLCs or from the county the license is issued in for sole proprietors and general partnerships.

New physical address

  • If a lease facilitator moves, if the new location is in the same city, an amendment is needed.
  • If the new location is in a different city, a new Application for License Form LF501

Adding Lessors or Lease Facilitators

  • Complete Amendment form (LF521 or LF522). Check Box E: ADDING OR DELETING LEASE FACILITATORS or ADDING OR DELETING LESSORS.
  • A list of new lessor(s) or lease-facilitator(s), including name and address, with whom you conduct or intend to conduct business.
  • Disclosure of fees paid to applicant by new lessor(s).
  • Disclosure fees paid to the lease facilitator upon establishment of the lease. If you do not use lease facilitators, you must state that.
  • Provide a copy of the form your customers sign. It must include:
    • Statement the retail customer has to sign verifying the customer is aware there is a lease-facilitator getting a fee.
    • Company name, logo, address, and phone number
    • Today’s date
    • Spaces for customer’s name and signature
    • Spaces for Lease Facilitator’s name and signature
  • LEASE FACILITATORS: Copy of each signed agreement between you, the applicant, and new lessor(s), disclosing its terms
  • LESSORS: A copy of each signed agreement between you, the applicant, and new lease facilitator(s), disclosing its terms. You must provide an agreement with each new lease facilitator.

Deleting Lessors

  • Name of lessor(s) with whom applicant no longer conducts business, including name and address, with whom applicant conducts or intends to conduct business.

Amend Manufacturer/Distributor License

LF221 Application to Amend Manufacturer-Distributor License

Reasons

Change business name

  • Certificate for the new entity (corporation, LP, LLP, or LLC) issued by the appropriate Secretary of State office.
  • Documentation issued by the appropriate Secretary of State stating that the entity change was a result of a conversion or amendment.

Add/remove/change assumed name

  • Assumed name certificate for new assumed name(s) filed and registered with the Secretary of State for corporations, LPs, LLPs & LLCs or from the county the license is issued in for sole proprietors and general partnerships

New physical address

Report Ownership and Management Changes

  • Ownership and Management Information Form LF602
  • Current copy of new owner DL

Changes in Line-Makes

  • Add new line
    • sample dealer sales and service agreement.
    • brochures or photos of new product with description of the product specifications.
    • Sample MCO.
    • Warranty Agreement provided to retail purchaser.
    • Dealer’s list for new line.
  • Delete line
    • Confirm there are no outstanding manufacturer’s warranty.
    • Confirm there are no franchised dealer with product to sell.

Addition of Dealers

  • Attach a list of any new franchised dealers in Texas. Include name, business address, General Distinguishing Number (P-number), and franchise license number of each dealer (if dealer is already licensed in Texas), and list the line-makes and types of vehicles each dealer is authorized to sell.

Delete Dealers

  • Attach a list, including name, business address, GDN(P#), and franchise license number, of each dealer with whom you no longer do business.
  • Attach documentation for each dealer explaining why the franchise relationship has terminated.
  • Ref OCC Sec. 2301.453. TERMINATION OR DISCONTINUANCE OF FRANCHISE.

Notice of Change in Warranty Information

  • Attach a copy of each new warranty agreement currently in effect between the applicant and its franchised dealers governing all motor vehicles produced or distributed in Texas by applicant.
  • Attach documentation setting out the new basis for compensating dealers in Texas for labor, parts, and other expenses incurred in connection with applicant’s motor vehicle warranty agreements (hourly rate).
  • Attach documentation setting out the new warranty protection provided a retail purchaser of the applicant’s products.

Notice of Change in Preparation and Delivery information

  • Attach documentation setting out the new preparation and delivery obligations of applicant’s franchised dealers in Texas before delivery of a new motor vehicle to a retail purchaser.
  • Attach documentation setting out the new schedule of compensation to be paid to applicant’s franchised dealers in Texas for work and service performed in connection with the franchised dealer’s preparation and delivery obligations.

Change in Distributors

  • Provide name(s) and address(es) of all new distributors involved in the distribution of motor vehicles manufactured by applicant.
  • Provide a list of distributor(s) with whom applicant no longer does business.

Change in Manufacturer

  • Provide name(s) and address(es) of all new manufacturers for whom applicant will act in Texas. If new manufacturer is licensed
  • in Texas, include Texas motor vehicle manufacturer’s license number and expiration date.
  • Provide a photocopy of each contract under which applicant will act for a new manufacturer.
  • Provide a list of manufacturer(s) with whom applicant no longer does business.

Amend Representative License

LF422 Application to Amend Representative License

Reasons

Add/remove/change assumed name

  • Assumed name certificate (from the Secretary of State for corporations, LPs, LLPs & LLCs, from the county for sole proprietors and general partnerships).

New physical address

  • Submit new address including city, state and zip code.

Report Ownership and Management Changes

  • Ownership and Management Information Form LF603

Amend Salvage License

MVD-438-A Salvage Dealer License Application

Reasons

Change business name

  • Provide a copy of the assumed name certificate for new assumed name(s) filed and registered with the Secretary of State for corporations, LPs, LLPs & LLCs or from the county for sole proprietors and general partnerships.
  • Provide a copy of the Texas Sales Tax and Use Permit from the Texas Comptroller of Public Accounts showing the new business name.
  • Complete Section C of the application, MVD-438-A, to show the new business name.

New physical address

  • Submit written notification listing your current license number, the name of the business, current address including county, new address including county
  • If operating as a salvage vehicle dealer within another county, or if locations are operated under different names, you will be required to obtain separate license(s) for those business names or locations. (ref. TAC RULE §217.76 Place of Business)

Report Ownership and Management Changes (only for partnerships or corporations; sole proprietors cannot transfer the salvage dealer license when selling their business.)

  • Submit written letter of explanation signed by an owner
  • Complete section E for each new partner and for each new director/owner of on the salvage dealer application, MVD-438-A.
